PE Readiness: Make Your Business Buyer-Ready
Private equity buyers don't pay for potential — they pay for de-risked, demonstrable performance. The gap between a good business and a buyer-ready business is where valuation is won or lost, and that gap is built (or neglected) years before any sale process begins.
What Buyers Actually Diligence
Sellers imagine buyers fall in love with growth stories. In practice, PE diligence is an exercise in finding reasons to discount. The areas that draw the most scrutiny:
Quality of earnings. Not just EBITDA, but how it was constructed. One-off gains, aggressive add-backs, customer concentration, and margin sustainability all get dissected. Businesses that maintain clean, well-documented financials over multiple years command premiums because the buyer spends less time — and applies fewer discounts — verifying them.
Management depth. A business that depends on its founder for every key relationship and decision is a risk, not an asset, in a buyer's model. PE firms underwrite the team as much as the numbers. If the CEO is the entire commercial engine, expect that reflected in the price.
Growth durability. Historical growth is table stakes; buyers model forward growth. They want to see a repeatable commercial engine: defined ICP, consistent win rates, expanding existing accounts, and a pipeline that doesn't depend on heroics.
The 12–24 Month Readiness Program
PE readiness isn't a last-minute polish — it's an operating program. The highest-value work happens 12 to 24 months before a process:
Professionalize the numbers
Move to audited or reviewed financials. Build monthly management reporting that ties operational KPIs to financial outcomes. Document every add-back with evidence. When a buyer asks "why," the answer should already exist in a data room, not require a fire drill.
De-risk concentration
No single customer above 15–20% of revenue. No single supplier as a single point of failure. No undocumented reliance on one executive. Each concentration you resolve before a process is valuation you keep.
Build the growth story with evidence
Buyers pay for contracted and visible growth: multi-year agreements, net revenue retention above 110%, a qualified pipeline at 3x coverage. Narratives without numbers get discounted; numbers without narrative get ignored. You need both.
Prepare the management story
Identify who runs the business post-close, fill critical gaps, and align the team on the plan. The strongest signal to a buyer is a management team that already operates like owners.
Running the Process
When readiness work is done, the process itself is about creating competitive tension:
- Control the narrative. A well-built investment thesis, backed by data, frames every buyer conversation. Don't let diligence discover your story — deliver it.
- Qualify buyers early. Not every PE firm is right for your business. Target firms whose thesis, check size, and operating style fit — then run a tight, credible timeline.
- Protect the business. Processes distract management. Assign a small deal team and keep everyone else focused on hitting the plan — nothing kills valuation faster than missing numbers mid-process.
The Bottom Line
PE readiness is simply operational excellence with a buyer's lens. The businesses that command premium valuations aren't the ones with the best investment bankers — they're the ones that spent two years becoming undeniable.
